General Terms and Conditions & Copyright

(In accordance with the Copyright Act and the Civil Code of the Slovak Republic)

1. General Provisions These GTC govern the contractual relationship between ESSK, s.r.o., ID: 46 503 561 (hereinafter “Provider”) and the customer (hereinafter “Client”). These terms apply to all digital services (video, audio, AI outputs, graphics, and consulting). By ordering a service, the Client agrees to these GTC.

2. Copyright and Licensing

• Ownership: The Provider remains the author of the work. The Client acquires the license to use the work only upon full payment of the agreed price. Unauthorized use before payment constitutes a copyright infringement.

• Basic License: Includes a lifelong right to use the work on the Client’s own digital platforms (website, social media – organic posts).

• Extended License (Ads): Use of the work in paid advertising (Ads), television, or for third parties requires a separate extended license agreement.

• Source Data: Only the final product is delivered. Source files, AI training models, and source projects remain the exclusive property of the Provider.

3. Implementation and Revisions

• Process: The Provider delivers the work within the agreed deadline, starting after the Client provides all necessary assets.

• Revisions: The base price includes two (2) rounds of technical revisions (minor adjustments to editing, sound, or graphics within the original scope).

• Deadline: Revisions must be requested within 5 business days of delivery. If no feedback is received, the work is considered approved.

• Change of Scope: Any changes to the original brief (e.g., changing the script after generating an AI avatar) are considered a new order and will be invoiced separately.

4. Liability and Assets The Client declares they hold all rights to the provided assets (likeness, voice). The Provider is not liable for the legality of content created based on the Client’s specific instructions.

5. Final Provisions All legal relations are governed by the laws of the Slovak Republic. The competent court is the court located in the Slovak Republic.
